1. Overview
ExpertsHub.AI (the "Platform") is operated by ExpertsHub AI Inc., a corporation incorporated under the laws of the State of Wyoming, USA, with its principal place of business at 1178 Broadway, 3rd Floor #3027, New York, NY 10001 ("ExpertsHub", "we", "us", "our"). "You", "your", or "User" means any person or entity that accesses or uses the Platform.
The Platform is an AI-powered online marketplace that connects businesses ("Clients") with AI and technology professionals ("Candidates") and enables referral partners ("Partners") to submit candidate referrals. ExpertsHub provides the infrastructure — matching, collaboration tools, payment services, and referral workflows — that Users need to engage with one another. ExpertsHub does not employ Candidates, guarantee deliverables or performance, or become a party to any service contract between Users.
2. Acceptance
By accessing or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, do not use the Platform. These Terms take effect when you click "I Agree," "Accept," "Sign Up," or similar, or when you access any part of the Platform.
If you access the Platform on behalf of a legal entity, you represent that you are authorized to bind that entity. "You" then refers to both the entity and you as an individual.
We may update these Terms from time to time. We will post the revised Terms with an updated date and provide notice of material changes. Continued use after changes are posted constitutes acceptance.
3. Eligibility
You must be at least 18 years old and have full legal capacity to enter binding contracts. The Platform is for business and professional use only — not for personal, family, or household use.
You may not use the Platform if you are: (a) located in or ordinarily resident in a comprehensively sanctioned jurisdiction; (b) listed on any applicable sanctions list (OFAC, UN, EU, UK HMT); or (c) seeking to use the Platform for any prohibited purpose as described in our Acceptable Use Policy.
4. Accounts
Most Platform features require a registered account. You must select a role ("Client" or "Candidate") at sign-up. Clients may add Recruiter sub-users to their organization workspace — each Recruiter must complete a short acknowledgment confirming they are authorized by their employer and are bound by these Terms.
You are responsible for keeping your account credentials secure. Do not share credentials with others. Notify us immediately at info@expertshub.ai if you suspect unauthorized access. You are responsible for all activity under your account.
Each natural person may maintain one personal account. Duplicate or throwaway accounts are prohibited.
5. AI-Powered Features
The Platform uses AI and machine learning tools to assist with profile parsing, candidate matching, assessments, interviews, fraud prevention, and workflow assistance ("AI Features"). AI Features support decision-making — they do not replace human judgment. Clients alone decide whom to hire.
AI outputs may be incomplete, time-sensitive, or contain errors. ExpertsHub does not guarantee the accuracy or suitability of any AI output. You must not rely on AI outputs as the sole basis for any legally significant decision without appropriate human review.

6. Platform Role — Independent Marketplace
ExpertsHub operates solely as a technology marketplace and workflow facilitator. Your use of the Platform does not create an employment, partnership, joint venture, or agency relationship between (a) ExpertsHub and any User, or (b) Clients and Candidates. Any engagement between Users is governed by their own service contract, to which ExpertsHub is not a party.
Candidates act as independent contractors. ExpertsHub does not direct, control, supervise, or warrant any work performed by Candidates. Clients are responsible for defining scope, managing performance, and complying with all laws governing independent contractor arrangements.
7. User Conduct
You must use the Platform lawfully, honestly, and in accordance with our Acceptable Use Policy (incorporated by reference). You are solely responsible for all content you submit and all activities conducted under your account.
You must not circumvent the Platform, its fee structures, or payment services for any engagement initiated through the Platform. The non-circumvention obligations applicable to Clients and Candidates are set out in the User Agreement.
8. Intellectual Property
ExpertsHub owns all rights in the Platform and ExpertsHub Content. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes only.
You retain ownership of content you submit to the Platform. You grant ExpertsHub a worldwide, royalty-free license to host, process, and use your content solely to operate, secure, and improve the Platform.
Ownership of work product delivered by a Candidate to a Client is governed by their service contract. By default, and unless otherwise agreed in the service contract, all work product and intellectual property created by a Candidate for a Client shall be assigned to and owned by the Client upon full payment.
DMCA. ExpertsHub respects intellectual property rights. To report copyright infringement, contact our designated agent: Legal Department, ExpertsHub AI Inc., 1178 Broadway, 3rd Floor #3027, New York, NY 10001; email: info@expertshub.ai. Notices must include: identification of the copyrighted work; identification of the infringing material with URL; your contact information; a good-faith statement that the use is unauthorized; and your signature.
9. Payment Services
Payment services — including payment acceptance, holds, payouts, refunds, and chargebacks — are provided via a third-party payment processor. All payments for engagements initiated on the Platform must be processed through Platform payment services. The detailed payment terms are set out in the User Agreement (Annexure A — Payment Terms), incorporated by reference.
ExpertsHub is not a bank, escrow agent, or fiduciary. Funds movement is facilitated by the payment processor under its own terms.
10. Disclaimers
To the maximum extent permitted by law, the Platform and all Platform services are provided "as is" and "as available" without warranties of any kind. ExpertsHub does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any matching, ranking, assessment, or AI output will be accurate or suitable for any purpose.
ExpertsHub is not responsible for User conduct, User content, or the acts or omissions of any third-party service providers.
11. Limitation of Liability
To the maximum extent permitted by law, ExpertsHub's total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the fees you paid to ExpertsHub in the two (2) months immediately preceding the event giving rise to liability.
ExpertsHub will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities, even if foreseeable.
Any claim arising out of or relating to these Terms must be brought within one (1) year after the claim accrues, or it is forever barred, to the maximum extent permitted by applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless ExpertsHub, its affiliates, directors, officers, employees, and agents from and against all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms or the Acceptable Use Policy; (b) your violation of any applicable law or third-party rights; (c) your User content; or (d) your conduct on or through the Platform.
13. Term and Termination
These Terms apply from your first access to the Platform. You may deactivate your account at any time. ExpertsHub may suspend or terminate your access at any time, with or without notice, for breach of these Terms, the Acceptable Use Policy, suspected fraud or abuse, or any other reason we deem necessary to protect the Platform or its users.
Upon termination, your right to access the Platform ceases immediately. Clauses 8, 10, 11, 12, 14, and 15 survive termination.
14. Dispute Resolution
Before starting any formal proceeding, the complaining party must send written notice of the dispute to info@expertshub.ai, identifying the facts and relief sought. The parties will attempt to resolve the dispute in good faith for 30 days.
If unresolved, any dispute arising out of or relating to these Terms shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The seat of arbitration shall be New York, New York. These Terms are governed by the laws of the State of New York, excluding conflict-of-laws rules. Arbitration shall be conducted by one arbitrator experienced in technology or commercial matters.
If at least one party is domiciled outside the United States, either party may elect within 15 days of the notice-of-dispute period to have the arbitration administered by the Singapore International Arbitration Centre (SIAC) under SIAC Rules, with Singapore as the seat.
Either party may seek interim or injunctive relief from courts in New York County, New York, without waiving arbitration. Disputes must be brought on an individual basis — no class or representative proceedings.
15. Governing Law
These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law rules. ExpertsHub AI Inc. is incorporated in Wyoming; New York governs these commercial terms. Courts in New York County, New York have non-exclusive jurisdiction for matters permitted under Clause 14 (such as interim relief and award enforcement).
16. General
These Terms, together with the User Agreement, Acceptable Use Policy, Privacy Policy, Cookie Policy, and Bias, Fairness & Explainability Statement (each incorporated by reference), constitute the entire agreement between you and ExpertsHub relating to the Platform.
If any provision is found unenforceable, the remaining provisions continue in full force. No waiver of any provision constitutes a waiver of any other provision. You may not assign these Terms without our prior written consent. ExpertsHub may assign these Terms in connection with a merger, acquisition, or sale of assets.

We may modify these Terms at any time by posting the updated version on the Platform. Your continued use after the effective date constitutes acceptance. Electronic records and click-wrap acceptances are binding to the fullest extent permitted by law.
